These Terms and Conditions govern the provision of marketing services, design and digital services, content writing, SEO services, social media services, website maintenance packages and consultancy work offered by CharlieMike.Ltd now trading as CM Collective ("we," "us," "our") to you, our client ("you," "your").

By engaging our services, you agree to be bound by these Terms and Conditions.

1. Services & Subscription Options

CM Collective offers the following Defined Packages and Project-Based Services:

1.1. Deep Dive Research: CM Collective’s Deep Dive Research service is designed to gather insights, data and information in preparation for design, SEO, social media, content writing and/or other related creative or marketing services to be carried out by us.

1.1.1. Deep Dive Research is recommended for clients who have commercial and/or organisational goals they want to achieve and are investing in design, SEO, social media, content writing, website development and/or other related marketing activities in the pursuit of these goals. 

1.1.2. In order for Deep Dive Research to be carried out effectively, we advise that you answer the nine questions in our online form first and then book a Chemistry Call to discuss and agree your business goals with us. 

1.1.3. Appointments for Deep Dive Video Calls, that are included within The Scope of Work as a payable service, are to be booked via our online booking system, which automatically sends appointment confirmation emails and reminders. Please check you are able to attend at the time and date you have chosen. We reserve the right to charge a cancellation fee, for appointments cancelled within 48 hours before scheduled Deep Dive appointments. 

1.1.4. Please note, Deep Dive Video Calls are carried out remotely and use AI to record and summarise the conversation. This is for our future reference and will be used to inform the services we carry out for you, our client. 

1.1.5. Please also note, the information we gather conforms with our Privacy Policy. A copy of our Privacy Policy can be found on our website by clicking this underlined link. Please familiarise yourself with this policy. 

1.2. Deep Dive Research + Monthly Retained Services: 

1.2.1. Deep Dive Research + Monthly Retained Services provide clients of CM Collective with insights, data and information in preparation for the provision of ongoing work over a six month or twelve month period.

1.2.2. During Deep Dive Video Call(s), CM Collective will collect information that will help us to analyse your business, target audience and/or target customers, along with your competitors and business goals. Using the information you provide us with, we will then work towards your specified goals by carrying out the tasks listed within The Scope of Work.

1.2.3. Appointments for Deep Dive Video Calls are to be booked using our online system at a time and date that suits you. 

1.3. Project-Based Services:

1.3.1. Beyond our Defined Packages, we also offer Project-Based Services. These are preceded by written agreements in the form of scoping documents. Scoping documents for project work include the scope of work, project timelines and the estimated associated costs.

1.3.2. Deep Dive Research + Project Work: In order to achieve the best results, CM Collective recommends that Deep Dive Research is carried out before creative work commences. 

1.3.3. Please refer to 1.2.2. above. 

1.3.4. Appointments for Deep Dive Video Calls are to be booked by you, the client, using our online system at a mutually convenient date and time. CM Collective schedules time slots for Deep Dive Video Calls on a rolling two-month basis. 

1.3.5. The aim of Project-Based Services carried out by CM Collective is to support you to achieve your stated business goals. The scope of our services includes, but is not limited to, the following:

• Design and content writing for websites and landing pages

• Design and content writing for brochures and newsletters

• Design and content writing for social media campaigns

• Blog posts, carousels and/or LinkedIn articles

• AI chatbot development and implementation 

• Drone photography and videography 

• Image editing and video editing 

• Art direction and/or brand development 

• Messaging and branding for social media banners and profile pages 

1.3.6. The Scope of Work, including project deliverables and target completion dates, will be agreed with you in writing before work commences. 

1.3.7. CM Collective reserves the right to seek payment in advance for any additional work requested by you, our client, that is beyond the agreed Scope of Work.

1.3.8. Payment for any additional work will either be due in advance or within 7 days of the invoice issued by CM Collective. Please refer to ‘Professional Fees & Payment Terms’ in Section 2 below for further details. 

1.4. Remote Delivery:

1.4.1. The Defined Packages offered by CM Collective, as well as our Project-Based Services, are designed to be performed remotely using digital tools operated and overseen by experienced creative and marketing professionals. 

1.4.2. Deep Dive Video Calls utilise Zoom’s AI Companion to create meeting notes and summaries and therefore, by necessity, are carried out remotely and not in person.

1.4.3. Where we may be required to travel in order to carry out one or more of our services, CM Collective agrees to confirm and agree any travel costs with you in advance. Our usual payment terms will apply (please see below).

2. Professional Fees & Payment Terms

2.1.1. Defined Packages: Professional fees for Defined Packages offered by CM Collective will be confirmed in writing with you, our client, before work commences. 

2.1.2. Bespoke Projects: Professional fees for Bespoke Projects offered by CM Collective will be confirmed in writing with you, our client, before work commences. 

2.1.3. Payment terms for our Defined Packages and Bespoke Projects will also be confirmed in The Scope of Work and may involve an upfront payment and/or staged payments. 

2.1.4. Commencement of work is based on your written acceptance of The Scope of Work provided by CM Collective and our stated payment terms. 

2.1.5. Payment will be required either in the form of monthly and/or staged payments by direct debit. An advanced deposit of 50% with the balance payable upon completion may be required before creative work is released and/or digital work goes live. In some circumstances, full payment may also be required before work commences. 

2.1.6. For project based work (bespoke projects) priced up under £995, payment will be required in full and in advance before work commences. Bespoke projects priced above £995 will be payable in equal monthly instalments over a set and agreed period. 

2.2 Payment of Invoices Issued By CM Collective:

2.2.1. Invoices for monthly services and project work to be carried out by CM Collective will be issued in GBP (Pounds Sterling) and can either be paid by direct debit or by BACS or via the payment link we provide you with. 

2.2.2. Unless otherwise agreed in advance and in writing, invoices issued by CM Collective are payable strictly within 7 days of our invoice date. Please refer to Sections 2.5 and 2.7 for further guidance on our payment terms. 

2.2.3. If a project extends beyond the anticipated timeline due to circumstances beyond our control, and where the scope of work is being extended by yourself, the client, without our prior agreement in writing, additional fees may be incurred at our standard rates.

2.2.4. In order to secure one or more of the monthly services provided by CM Collective, such as our SEO packages, social media campaigns and website maintenance and update packages, payment is to be made by direct debit on a pre-agreed date. 

2.2.5. Invoices for ongoing monthly services will be provided by our automated payment system seven days in advance of the monthly direct debit payment date. 

2.3  Additional client amends:

2.3.1. Where additional and/or extensive client amends are requested and required beyond the agreed scope of work, CM Collective will confirm these fees and payment terms with you in advance of this work being carried out.

2.4 Monthly Retainers:

2.4.1. Monthly Retainers refer to ongoing services offered by CM Collective such as our SEO packages, social media campaigns and website maintenance and update packages.

2.4.2. The minimum term for each of our monthly packages is six months. Unless otherwise confirmed in writing by you, our client, it will be assumed you wish the ongoing monthly service we are providing you with to continue and we will, accordingly, continue to seek payment from you on a monthly basis. 

2.4.3. Should you decide to terminate a monthly contracted service provided by CM Collective, you agree to provide us with one month’s notice in writing and to complete the minimum term of six months.  

2.4.4. Failure to provide one month’s written notice will result in additional fees becoming payable. This includes, but may not be limited to, the monthly fee agreed within The Scope of Work. Additional fees will always be confirmed with you in writing. 

2.4.5. Failure to meet or uphold our payment terms could result in the immediate cessation of our work for you without notice in writing. 

2.5  New payment system:

2.5.1. CM Collective is introducing a new electronic payment system which will eventually replace standing orders and bank transfers as payment methods. Our clients will be informed in advance of this change and support will be provided to ensure payments can be made promptly and without delay or interruption to services you are paying us to carry out. 

2.6  Additional Fees for Onsite Delivery:

2.6.1. Where CM Collective is required to travel to a destination of your choosing to carry out some or all of the services listed within the agreed scope of work, we reserve the right to request payment of additional fees for our travel time and travel costs in advance. 

2.6.2. Travel related costs will be confirmed in writing for your approval in advance. 

2.6.3. The payment of these costs may be required before work is carried out. 

2.7 Late Payments:

2.7.1. Unless otherwise agreed in writing, late payments may incur a 10% late payment fee per month, accruing daily until the outstanding amount is settled. Late payment fees will be calculated and invoiced once the initial outstanding amount has been received into our account. 

2.7.2. After two late payments, CM Collective may require advance payment for all future project work and/or ongoing monthly services.

2.7.3. Where advance payment has been requested for project work covered within The Scope of Work, whether in part or in full, work will commence only once your payment has been received.

2.7.4. Where delays occur in the payment of advance fees by you, CM Collective reserves the right to change the estimated completion date(s) for work listed within The Scope of Work. Should this be the case, we will confirm the new estimated completion date(s) and interim timeframes with you in writing.

3. Revisions & Amendments

3.1.  Unless otherwise agreed in writing, CM Collective will provide up to two rounds of client amendments per project, provided they fall within the original and agreed Scope of Work.

3.2.  Additional revisions outside of the agreed scope will be payable either at our standard hourly rate of £75 per hour or at our half day rate of £200 or full day rate of £400, depending on the time required to complete your additional requested client changes. 

3.3.  Unless you, our client, have purchased the full IP and copyright for designs and content we have created for you, such as websites and/or artwork for brochures and/or other digital assets, it will be assumed we will be paid to carry out any required changes. 

3.4.  One-off amendments or updates to the content of websites and/or other digital assets and designs we have created for you, for which CM Collective owns the IP and copyright and/or are legally entitled to amend, will be charged at £75 per hour with a minimum cost of £75. 

3.5.  Payment for additional Client revisions not covered within The Scope of Work up to £995, including amendments to your website after it has been signed off and has gone live, will be due in advance unless the work is covered by an ongoing monthly Website Maintenance + Update Package. 

4. Intellectual Property & Copyright

Important Notes: Please read the following regarding CM Collective’s position in relation to IP and copyright ownership under Section 90 of the UK Copyright, Designs and Patents Act, 1988. 

Should you wish to purchase the full ownership of IP and copyright for any or all of the creative work we carry out for you, please request this price before work commences to avoid additional administration costs. 

If not, we will assume you are happy to proceed with using our IP and copyrighted materials and for credits for CM Collective added to your digital and/or printed assets. For example, on our clients’ websites we include the following backlinks to the CM website, ‘Like our website? Visit CM Collective.’ 

To calculate the cost of transferring IP and copyright, multiply our creative and consultancy fees by 45%. This will provide you with the likely fees for purchasing and owning the full IP and copyright for websites, brand identities and other related outcomes. 

4.1. Under UK copyright law CM Collective retains the moral rights to be identified as the author of the written content and/or creative outcomes we produce for you unless otherwise explicitly agreed in writing and formally transferred to you in return for the agreed sum.

4.2.  This means the creative work produced by CM Collective cannot be copied, amended or repurposed by yourselves or passed on to a Third Party of your choosing to copy, amend or repurpose for you, our client.

4.3.  Upon full payment of our fees, as our client you will automatically receive a non-exclusive, royalty-free licence to use the written content and/or creative work we have produced for you for the intended purpose(s) only, and as specified in The Scoping Document provided to you, our client, by CM Collective. This is not the same as owning the IP and copyright of our creative work. Please refer back to points 4.1 and 4.2 above. 

4.4.  As part of our agreed Terms & Conditions, you agree not to resell, redistribute, claim authorship of, recreate or repurpose any of our written content and/or creative work we have produced for you, our client, without the explicit written permission of CM Collective.

4.5.  In the unlikely, or mistaken, event that the Intellectual Property Rights and Copyright of CM Collective has clearly been infringed, we will in the first instance ask for the offending materials to either be withdrawn, deleted or destroyed by you, our Client.

4.6.  CM Collective also reserves the right to charge you, the client, for the Intellectual Property Rights of our creative work should the request for offending materials to be withdrawn, deleted or destroyed not be acted upon by the date and time CM Collective specifies in writing.

5. Client Responsibilities

5.1. Your responsibility as our client is to provide all necessary information, materials, digital assets, access permissions and/or editing permissions (if you require us to edit or amend creative work that a Third Party has produced for you). This includes providing us with factually and legally correct information and the necessary guidance and professional input for us to complete ongoing monthly retained work and/or one-off project work in a timely manner as we work towards achieving your stated, and the agreed, goals. 

5.2.  Delays in providing requested and/or essential information and/or visual imagery and/or any required recordings are likely to impact the target completion date and related interim delivery timelines as outlined within The Scope of Work. Should this be the case, whether intentionally or otherwise, please refer to points 2.2.3. and 2.7.4 above and point 6.1. below. 

5.3. As our client you agree to honour and uphold our payment terms for the duration of our working relationship together. 

6. Deadlines & Delivery

6.1. CM Collective will make every reasonable effort to meet the target completion date for your Monthly Scheduled Content and/or for any Project-Based Work. However, delivery times are estimates and may be subject to extensions and/or revision due to unforeseen circumstances.

6.2. Should project timelines and target completion dates need to be adjusted, CM Collective will confirm this with you in writing. We will also, at the same time, provide you with alternative project timelines and a new target completion date.

6.3. Please note, late delivery of project deliverables does not entitle you to cancellation or a refund of full or part fees unless otherwise offered or agreed in exceptional circumstances and in writing by CM Collective.

7. Cancellations & Refunds

7.1. Refunds for date-specific and paid Defined Packages, such as Deep Dive Video Calls, which have been booked by you using our online booking system, are not available when they are cancelled within 24 hours (one working weekday) of scheduled appointments. Should this occur, we reserve the right to charge an additional fee for your rescheduled service and/or appointment. 

7.2. CM Collective reserves the right to offer a discretionary or partial refund for Defined Packages and/or Project-Based Services cancelled in part or in full within 5 working days preceding the start date and time of your chosen service.

7.3. Clients who wish to apply for a discretionary or partial refund and/or cancel a confirmed appointment with CM Collective should, in the first instance, try to contact us by phone.

7.4. If we are unable to take your call, please leave a clear voice message giving your full name, appointment date and time, contact number and a brief reason for the cancellation. Once your message has been left, please confirm the same information in writing by email to: Tom Steel at hello@cmcollective.co.uk 

7.5. To help us to identify cancellation notifications and/or refund requests, please include a suitable email subject line, such as, ‘Refund request’ or ‘Cancellation notification.’

7.6. CM Collective will aim to call you within 24 hours to discuss the reason for the cancellation and to explore alternative dates and/or times for the Deep Dive Video Call you have booked.

7.7. Should alternative dates or times not be suitable, for good reason, CM Collective will discuss making a partial refund for the Defined Package that has been purchased.

7.8.  If you, the Client, decide to cancel some or all of the project-based work within The Scope Of Work, once the agreed work has commenced and before it has been completed, no refund will be issued by CM Collective.

7.9. We do, however, reserve the right to offer a discretionary credit note which can be redeemed at a mutually agreeable date and/or time.

7.10. If we are unable to complete The Scope of Work due to unforeseen circumstances, CM Collective will offer to refund some or all of the payments less any initial required deposits.

8. Confidentiality

8.1. We will treat all information provided by you as confidential and will not disclose it to third parties without your consent, except as required by law.

8.2. As a client of CM Collective, you also agree to keep our pricing, contractual agreements, and our working processes and methods confidential.

8.3. As our client, you also agree to keep any work-related and/or non-work related conversations and messages confidential between us and you, our client, unless otherwise agreed in writing with us in advance. This specifically relates to the sharing of information with Third Parties. 

9. Liability & Indemnity

9.1. We will not be held liable for any losses, damages, or claims resulting from the marketing recommendations we offer, and/or the creative services we provide, during the course of our work together as client and supplier while we work towards achieving your stated, and the agreed, business goals. 

9.2. You agree to indemnify us against any claims arising from the publication or distribution of the content we design, write, publish or schedule on your behalf.

10. Client communications, our availability and response times

10.1. You agree to abide by and respect our advertised hours of business as publicised on our website and/or on Google My Business and not to seek to contact us outside of these hours of business, unless otherwise agreed with us in writing. 

10.2. We will aim, in most circumstances, to respond to any messages you send to us by email, or over the phone, within 2 working days. 

10.3. In the first instance, please contact us via email unless there is an urgent issue that requires our attention. 

10.4. In special circumstances, such as time-specific events, on-site service delivery and/or content shoots and/or project-related tasks, we may invite you to join us in a WhatsApp group for a limited period of time. 

10.5. Where a work-related WhatsApp group has been set up, we will agree with you in advance and in writing what our hours and days of availability will be and the target response times we will aim for when replying to any messages you send to us. 

10.6. Unless otherwise agreed in writing, you agree to only contact your assigned account manager(s) at CM Collective and not contact other members of our team directly. 

11. Governing Law & Jurisdiction

11.1. These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Amendments To These Terms & Conditions

12.1. We reserve the right to update or modify these Terms and Conditions at any time. Changes will be communicated to existing clients where applicable and, in the first instance, on our website. 

12.2. The date of the most recent update will always be clearly visible at the bottom of our Terms & Conditions.
